Important Notice — Please Read Carefully
These Terms of Service ("Terms") form a legally binding agreement between you and MENA Homes Platform – L.L.C – O.P.C ("MENA Homes", "we", "us", "our"), a company incorporated in the Emirate of Abu Dhabi, United Arab Emirates, with registered offices at Al Bateen Tower C6, Bainunah Street, 1st and 2nd Floor, Street 34, Abu Dhabi, UAE.
These Terms contain important provisions that limit our liability, allocate risk to you, require you to indemnify us, and restrict the time within which you may bring claims. Please read them carefully. By accessing or using the MENA Homes website (menahomes.ae), mobile applications, agent portal, APIs, or any related products or services (together, the "Platform"), you confirm that you have read, understood, and accept these Terms. If you do not accept these Terms in full, you must not use the Platform.
1. Definitions
In these Terms:
"Agent" means a real estate broker, brokerage firm, developer, hotel apartment provider, owners' association manager, or other licensed real estate professional that uses the Platform to list properties or otherwise market real estate services.
"Applicable Law" means the federal laws of the United Arab Emirates and the local laws of the Emirate in which a dispute arises or in which the relevant Agent or Property is located, including without limitation Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, Federal Decree-Law No. 14 of 2023 on Trading by Modern Technological Means, Federal Law No. 15 of 2020 on Consumer Protection (and its Executive Regulations under Cabinet Decision No. 66 of 2023), Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes, Federal Decree-Law No. 50 of 2022 promulgating the Commercial Transactions Law, and Federal Law No. 5 of 1985 promulgating the Civil Transactions Law.
"Content" means any text, images, photographs, videos, floor plans, listing details, property data, descriptions, prices, contact information, ratings, reviews, comments, market data, mortgage data, area guides, and any other materials displayed on or submitted to the Platform.
"Listing" means a property advertisement published on the Platform, including all associated Content.
"MENA Homes Parties" means MENA Homes and our parent companies, subsidiaries, affiliates, shareholders, directors, officers, employees, contractors, suppliers, service providers, licensors, agents, successors, and assigns.
"Property" means any residential or commercial real estate offered for sale, rent, lease, or other transaction through a Listing.
"Subscription" means a paid plan, package, or credit purchased by an Agent.
"User" means any person who accesses or uses the Platform, including Agents, prospective buyers, tenants, sellers, landlords, and visitors. "You" and "your" refer to the User.
2. Nature of the Platform — MENA Homes Is Not a Broker, Agent, or Party to Any Transaction
2.1 What We Are
MENA Homes operates a technology platform that displays Listings submitted by independent third-party Agents and allows Users to search, view, and enquire about Properties. We are a passive intermediary between Agents and Users. Our role is limited to making the Platform available; we do not participate in real estate transactions.
2.2 What We Are Not
You expressly acknowledge and agree that:
(a) MENA Homes is not a real estate broker, agent, agency, dealer, salesperson, intermediary, fiduciary, valuer, mortgage broker, lender, escrow agent, advisor, or party to any transaction, contract, or arrangement between Users, between Users and Agents, or between Users and any third party;
(b) MENA Homes does not own, lease, rent, sell, manage, possess, control, inspect, value, or have any legal or beneficial interest in any Property listed on the Platform;
(c) MENA Homes does not represent any Agent, owner, buyer, tenant, seller, or landlord, does not act in their interest, owes no fiduciary duty to any User, and is not the agent of any party for any purpose;
(d) Agents are independent contractors, not employees, agents, partners, joint-venturers, or representatives of MENA Homes. We have no control over, and assume no responsibility for, the conduct of any Agent on or off the Platform;
(e) MENA Homes does not endorse, recommend, vouch for, certify, or guarantee any Agent, User, Property, Listing, transaction, third-party service, or piece of Content. The display, ranking, sorting, "verified" badging, "featured" status, or other prominence of any Agent or Listing on the Platform does not constitute an endorsement;
(f) MENA Homes does not give legal, financial, mortgage, tax, valuation, investment, or real estate advice. Information on the Platform is for general information only; and
(g) MENA Homes is not a publisher of Content submitted by Agents or other Users, and any liability ordinarily arising in respect of Content shall lie with the originator of that Content, not with MENA Homes.
2.3 You Bear All Risk of Real Estate Transactions
You acknowledge that real estate transactions involve substantial risk, including the risk of fraud, misrepresentation, defective title, unlicensed brokers, undisclosed defects, mortgage and financing risks, regulatory changes, market fluctuations, and the failure of one or more parties to perform. You assume all such risk in full. MENA Homes does not insure you against, and accepts no responsibility for, any of these risks.
You agree that, before entering into any transaction or making any payment in connection with any Listing, you will conduct your own independent due diligence, including (where relevant): inspection of the Property, verification of the Agent's RERA / DLD / Abu Dhabi Real Estate Centre / municipal licence and Trakheesi (or equivalent) advertising permit, title verification with the relevant land department, RERA Form A or equivalent authorisation, valuation, structural survey, and engagement of independent legal, financial, and mortgage advisers.
3. Eligibility and Account Registration
3.1 Age and Capacity
You must be at least eighteen (18) years of age and have full legal capacity to enter into binding contracts under Applicable Law. By using the Platform, you represent and warrant that you meet these requirements.
We do not knowingly collect personal data from persons under thirteen (13). If you believe a person under thirteen has provided us with personal data, please contact privacy@menahomes.com so we can delete it.
If you are using the Platform on behalf of a legal entity, you represent and warrant that you are duly authorised to bind that entity, and references to "you" include both you personally and the entity.
3.2 Account Information and Security
You are responsible for:
- maintaining the confidentiality of your username, password, and any access credentials
- all activities that occur under your account, whether or not authorised by you
- immediately notifying us at support@menahomes.com if you suspect any unauthorised access. MENA Homes is not liable for any loss or damage arising from your failure to maintain the security of your credentials, from any unauthorised use of your account, or from any compromise resulting from a phishing, social engineering, malware, or other attack on your devices or systems.
3.3 Our Rights
We may, at our sole discretion and without liability, refuse, suspend, restrict, or cancel any account, decline registration, withhold features, or remove any Content, where we believe (in our sole judgment) that any of the foregoing is in breach of these Terms or Applicable Law, that information provided is false, misleading, incomplete, or out-of-date, or that it is necessary to protect the Platform, other Users, or our legitimate interests.
You may not transfer, sell, or assign your account without our prior written consent.
4. Use of the Platform
4.1 Permitted Use
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access the Platform for personal, non-commercial use (in the case of consumers) or for legitimate real estate marketing in accordance with these Terms (in the case of Agents). All other uses are prohibited.
4.2 Prohibited Conduct
You will not, and will not permit or authorise any third party to:
(a) use the Platform in any manner that violates Applicable Law, including the UAE Cybercrime Law, Consumer Protection Law, Personal Data Protection Law, anti-money-laundering and counter-terrorism-financing legislation, sanctions regulations, or any directive of RERA, the DLD, the Abu Dhabi Real Estate Centre, or any other competent authority;
(b) post, transmit, or publish any Content that is false, misleading, deceptive, fraudulent, defamatory, threatening, abusive, harassing, obscene, hateful, racially or religiously offensive, blasphemous, contrary to UAE public order or public morals, or otherwise unlawful;
(c) impersonate any person or entity or misrepresent your affiliation, identity, qualifications, licensing, or authority;
(d) access, scrape, copy, harvest, index, monitor, mirror, frame, deep-link, or download all or any portion of the Platform, Content, data, search results, or database structure, by automated or manual means, including the use of robots, spiders, crawlers, scrapers, or any data-extraction technology, except as expressly permitted by us in a written API or data-licensing agreement;
(e) use Content, listings, photographs, videos, market data, or any other material from the Platform to train, fine-tune, evaluate, or develop any artificial-intelligence model or dataset, or to create any competing product, service, or database, without our prior written consent;
(f) reverse-engineer, decompile, disassemble, or attempt to derive the source code or algorithms of any part of the Platform;
(g) interfere with, disrupt, overburden, damage, impair, or attempt to gain unauthorised access to the Platform, our servers, networks, or any account;
(h) introduce any virus, worm, trojan horse, ransomware, malicious code, or other harmful program;
(i) circumvent, disable, or interfere with any security or access-control feature;
(j) send unsolicited commercial communications, pyramid schemes, chain letters, or mass marketing through the Platform;
(k) collect, harvest, compile, or process personal information, telephone numbers, email addresses, or other contact details of Users for any purpose not expressly authorised by us and the relevant data subject;
(l) advertise, sell, or solicit goods or services unrelated to real estate, except as expressly permitted;
(m) post any Listing for a Property that you are not legally authorised to market, that does not exist, that has been sold, rented, or withdrawn, or that materially misrepresents the Property;
(n) use the Platform to launder money, finance terrorism, evade sanctions, or facilitate any other financial crime; or
(o) infringe any intellectual property right, privacy right, publicity right, contractual right, or any other right of any person.
Any breach of this Section 4.2 may result in immediate suspension or termination of your account, removal of Content, recovery of damages, and referral to law enforcement and regulators. MENA Homes will cooperate fully with any lawful investigation or order.
4.3 Reporting Misuse
Please report unlawful, fraudulent, or non-compliant Content to abuse@menahomes.com. We will review reports and take such action as we consider appropriate in our sole discretion. We are under no obligation to monitor the Platform and any decision to act on, or not act on, a report shall not give rise to any liability or duty of care.
5. Additional Terms for Agents
This Section 5 applies in addition to all other provisions whenever you use the Platform as, or on behalf of, an Agent. Where there is a conflict between this Section 5 and any signed subscription order, the signed order prevails to the extent of the conflict.
5.1 Licensing, Permits, and Authorisations
You represent, warrant, and undertake on a continuing basis that:
(a) you hold a current, valid trade licence and real estate activity licence issued by the competent authority in each Emirate in which you operate (DLD/RERA in Dubai; Abu Dhabi Real Estate Centre; Sharjah Real Estate Registration Department; and the equivalent authorities in Ajman, Ras Al Khaimah, Umm Al Quwain, and Fujairah);
(b) every individual broker who lists or markets Properties under your account holds a current broker registration number (BRN) and has completed all required training and certifications;
(c) you have obtained, and will keep current, all required advertising permits for each Listing, including (where the Property is in Dubai) a valid Trakheesi permit issued by the DLD pursuant to Law No. (7) of 2013 and RERA Administrative Decision No. (134) of 2013, and the equivalent advertising authorisation in any other Emirate;
(d) you have entered into a valid marketing contract or other written authorisation with the Property owner (such as RERA Form A in Dubai) entitling you to market and advertise the Property;
(e) the Listing complies with all DLD, RERA, Abu Dhabi Real Estate Centre, and other competent-authority rules, including disclosure of permit numbers, broker contact details, and prohibitions on false or exaggerated claims; and
(f) you will notify us immediately if any licence, permit, or authorisation referred to above is revoked, suspended, expired, or otherwise becomes invalid.
You must display a valid Trakheesi permit number (or equivalent) on every Listing where required by Applicable Law. You — not MENA Homes — bear sole responsibility for compliance with all licensing, permit, marketing, advertising, and conduct rules applicable to real estate brokers, developers, and advertisers in the UAE. We may refuse to publish, or remove without notice, any Listing that does not display a valid permit number or for which a permit is required but not provided, but we are under no obligation to police or audit your compliance.
5.2 Listing Standards
You agree that every Listing you publish will:
(a) be true, complete, accurate, current, and not misleading in any respect;
(b) relate to a Property that is genuinely available for sale, rent, or lease at the time of listing, at the advertised price, on the advertised terms, and from the actual Property owner;
(c) include only photographs, floor plans, and videos that depict the actual Property being advertised (no stock images, mock-ups, AI-generated images, or images of different units, except where clearly disclosed for off-plan Properties);
(d) comply with our published listing guidelines, image standards, and content policies, as updated from time to time at our sole discretion;
(e) for off-plan Properties, include the name of the developer, the escrow account number, the expected completion date, and any service charges, where required by Applicable Law;
(f) not duplicate other Listings on the Platform for the same Property by you, and not exceed any limit on the number of brokers who may simultaneously market the same resale unit (where required by Applicable Law); and
(g) be promptly updated or withdrawn when the Property is no longer available, when material details change, or when the underlying authorisation expires.
You warrant the accuracy and lawfulness of every Listing on a continuing basis and will defend, indemnify, and hold harmless the MENA Homes Parties from and against any claim arising out of any inaccuracy, omission, or breach.
5.3 Subscriptions, Fees, and Payment
(a) Subscription Plans. Agents may purchase Subscriptions to publish Listings or access premium features. Fees, package terms, listing quotas, and credit terms are set out in the subscription order, invoice, or order form between you and MENA Homes (the "Subscription Order").
(b) Currency and VAT. All fees are quoted in UAE Dirhams (AED) and are exclusive of VAT unless stated otherwise. VAT will be added at the prevailing rate where applicable.
(c) Invoicing and Payment. Invoices are payable on the terms set out in the Subscription Order. Late payment may, at our option, result in suspension of your account or premium features without further notice, and may attract late-payment interest at the maximum rate permitted by Applicable Law.
(d) Non-Refundable. Except as required by Applicable Law (including the cancellation rights under Federal Decree-Law No. 14 of 2023) or as expressly provided in the Subscription Order, all Subscription fees are non-refundable in whole or in part, regardless of usage, regardless of any suspension or termination for breach by you, and regardless of any reduction in features or change in pricing. Where a duplicate or erroneous payment has been made, the duplicated portion will be refunded on written request.
(e) Price Changes. We may change Subscription pricing or package components from time to time. Such changes will not apply during the term of any Subscription already in force, but will apply on renewal.
(f) Payment Processors. Payments are processed through authorised third-party payment service providers regulated by the Central Bank of the UAE or another competent authority. We are not responsible for the acts, omissions, security, or availability of any payment processor. By submitting payment information, you authorise us and our processors to charge the applicable fees to your selected payment method.
5.4 Suspension and Removal of Listings
We may, at our sole and absolute discretion and without liability, refuse, edit, suspend, downgrade, deprioritise, or remove any Listing or your access to any feature, with or without notice, where we have reason to believe (in our sole judgment) that the Listing or your account is in breach of these Terms or Applicable Law, where we receive a complaint or take-down request from a competent authority or rights-holder, or where we consider it necessary to protect the integrity of the Platform or its Users. Suspension or removal does not give rise to any refund, credit, or compensation.
5.5 Agent Indemnity
In addition to Section 13, Agents specifically agree to defend, indemnify, and hold the MENA Homes Parties harmless from and against any claim, fine, penalty, loss, damage, cost, or expense (including reasonable legal fees on a full-indemnity basis) arising out of or in connection with:
- any Listing you publish
- any breach of your licensing, permit, or authorisation obligations
- any complaint by a Property owner, tenant, buyer, or third party regarding your conduct
- any dispute over commission, deposit, or transaction terms
- any allegation of misrepresentation, mis-selling, or fraud; or (vi) any regulatory or enforcement action by RERA, the DLD, the Abu Dhabi Real Estate Centre, or any other competent authority arising out of or in connection with your use of the Platform.
6. User-Generated Content and Submissions
6.1 Your Content
You retain ownership of Content you submit ("Your Content"), but you grant us the licence in Section 6.2.
6.2 Licence to MENA Homes
By submitting Your Content to the Platform, you grant the MENA Homes Parties a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, use, reproduce, modify, adapt, translate, edit, reformat, distribute, transmit, publicly display, publicly perform, archive, and create derivative works of Your Content, in any media now known or later developed, for any purpose connected with the operation, promotion, marketing, or improvement of the Platform or our business, including the use of Your Content (in aggregated and de-identified form) to develop market intelligence, statistics, analytics, and other data products. You also grant each User a non-exclusive licence to access and view Your Content as permitted by these Terms.
6.3 Your Warranties
You represent and warrant that:
(a) you own Your Content or have all necessary rights, licences, consents, releases, and permissions to submit it and to grant the licences in Section 6.2;
(b) Your Content does not, and your use of the Platform will not, infringe the intellectual property, privacy, publicity, contractual, or other rights of any third party;
(c) Your Content is accurate, lawful, and complies with these Terms; and
(d) you have obtained all required consents from any individual whose personal data appears in Your Content, including informed consent under the PDPL.
We are not obliged to publish, retain, store, back up, archive, monitor, or use Your Content. We may remove, edit, or refuse to publish Your Content at any time in our sole discretion. No compensation is payable to you for our use of Your Content under the licence in Section 6.2.
6.4 Reviews and Ratings
Where the Platform allows reviews or ratings, such Content must be honest, based on a genuine experience, and must not be defamatory, abusive, or contrary to Applicable Law. MENA Homes is not responsible for the content of any review. You agree that any complaint about a review is, in the first instance, a matter between the reviewer and the subject of the review.
7. Intellectual Property
7.1 Our Rights
The Platform and all software, source code, designs, layouts, text, graphics, logos, icons, images, audio and video clips, data compilations, databases, page headers, button icons, scripts, trade names, trademarks, and the look-and-feel of the Platform (other than Your Content) are owned by or licensed to MENA Homes and are protected by UAE intellectual property laws and international treaties. All rights are reserved.
7.2 Trademarks
"MENA Homes", the MENA Homes logo, and other names, slogans, and logos used on the Platform are trademarks of MENA Homes. You may not use them without our prior written consent.
7.3 Limited Licence to You
We grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform, and to download or print individual pages or extracts solely for personal non-commercial reference (consumers) or for the legitimate purposes of your real estate business under these Terms (Agents). All other rights are reserved. No data-mining, scraping, AI-training, or aggregation rights are granted, expressly or by implication.
7.4 Reporting Infringement
If you believe Content on the Platform infringes your rights, send written notice to legal@menahomes.com including:
- your name, address, and contact details
- a description of the right allegedly infringed
- the URL of the allegedly infringing Content
- a statement that you have a good-faith belief that the use is unauthorised
- a statement, under penalty of perjury, that the information is accurate and that you are the rights-holder or authorised to act for them; and (vi) your signature. We may, at our discretion, remove allegedly infringing Content pending investigation. We will not be liable to any party for any decision to remove, or not to remove, allegedly infringing Content.
8. Privacy and Personal Data
Your use of the Platform is also governed by our Privacy Policy, which forms part of these Terms.
We process personal data in accordance with the PDPL and any other Applicable Law. By using the Platform you acknowledge that you have read and understood the Privacy Policy.
Where you provide personal data of any other person (for example, a Property owner, tenant, or co-applicant), you represent and warrant that you have obtained that person's informed consent under the PDPL and you will defend, indemnify, and hold the MENA Homes Parties harmless from any claim arising from your failure to do so.
You may exercise your rights as a data subject under the PDPL by contacting privacy@menahomes.com.
9. Marketing and Electronic Communications
9.1 Consent to Service Communications
By creating an account or submitting an enquiry, you consent to receive electronic communications from us in connection with your account, the Properties or Agents you have engaged with, and important Platform notices. You agree that such communications, when delivered electronically, satisfy any legal requirement that they be in writing.
9.2 Marketing Communications
We will only send you marketing communications where you have consented or as otherwise permitted by Applicable Law. You may withdraw consent at any time via "unsubscribe" or by contacting privacy@menahomes.com. Withdrawal of consent does not affect the lawfulness of processing carried out before withdrawal.
9.3 Communications Between Users
The Platform may provide messaging or enquiry features. MENA Homes is not responsible for the content of communications between Users, between Users and Agents, or for any consequence of such communications, including any agreement, transaction, deposit, payment, or commitment made through them. We may, but are not obliged to, monitor or moderate such communications, and we may disclose them as required by Applicable Law or to protect our legitimate interests.
10. Third-Party Services, Data, and Links
The Platform may contain links to, or integrations with, third-party websites, applications, services, data feeds, or APIs (including mortgage calculators, valuation tools, payment processors, mapping services, social media platforms, CRM providers, listing data feeds, market data sources, and government data sources). We do not control, operate, verify, endorse, or guarantee any third-party service, data, or content. Your use of any third-party service is at your own risk and subject to that third party's terms.
In particular, you acknowledge and agree that:
(a) any mortgage rates, EMI calculations, or financing information displayed on the Platform are indicative only, are sourced from third parties, change frequently, and do not constitute an offer, advice, or recommendation. Actual rates and terms are determined by the lender;
(b) any market data, area guides, transaction histories, "compare meter", price indices, valuations, or AI-generated insights are estimates only, are sourced from public, governmental, or third-party feeds, and may be incomplete, out-of-date, or inaccurate;
(c) any maps, satellite imagery, street views, or geolocation data are provided by third parties and may not reflect current or accurate boundaries, infrastructure, or features;
(d) any payment processing is performed by independent providers regulated by the Central Bank of the UAE or another authority. We do not store full card details and are not responsible for any failure, delay, fraud, or breach in the payment chain;
(e) any third-party CRM, XML feed provider, listing-syndication partner, or data integration partner acts independently. You are responsible for the accuracy and timeliness of data you transmit through any such integration; and
(f) we are not liable for any loss, damage, or claim arising from any third-party service, content, or data.
11. Disclaimers — "AS IS" Basis
11.1 Listings and Content Are Not Verified by Us
You acknowledge and agree that:
(a) all Listings, Property descriptions, prices, photographs, floor plans, areas, dimensions, features, amenities, availability, ownership, title, encumbrance, occupancy, rent, condition, completion status, and other Content provided by Agents are the sole responsibility of the Agent;
(b) MENA Homes does not independently verify the accuracy, currency, completeness, legality, authority, or genuineness of any Listing, Agent, Property, photograph, or piece of Content;
(c) MENA Homes does not perform background checks, credit checks, identity verification, licence verification, anti-fraud checks, or any other due diligence on Agents, Property owners, Users, or Properties (other than as we elect to do, in our sole discretion, for our own purposes — and any such checks confer no guarantee or right on you);
(d) Listings may be inaccurate, outdated, incomplete, fraudulent, duplicative, or unauthorised, and Properties may already be sold, rented, withdrawn, or never have existed;
(e) any Agent badge, "verified" status, "trusted" label, ranking, score, or featured status reflects only our own internal classification and does not constitute a guarantee, certification, or warranty of any kind;
(f) you must conduct your own independent due diligence before relying on any Listing or entering into any transaction, including site inspection, title search, RERA/DLD permit verification, valuation, structural survey, and engagement of independent legal, financial, and mortgage advisers; and
(g) you have not relied on any representation made by MENA Homes that is not expressly set out in writing in these Terms or the Privacy Policy.
11.2 No Real Estate, Legal, Financial, or Investment Advice
Any market data, area guides, mortgage rates, valuation tools, "compare meter", blog content, AI-generated content, search-result rankings, recommendations, and similar materials are provided for general information only and do not constitute legal, financial, investment, mortgage, valuation, tax, or real estate advice. You must not rely on them as the basis for any decision. You should obtain independent professional advice.
11.3 General "AS IS" Disclaimer
To the maximum extent permitted by Applicable Law, the Platform, all Content, and all features are provided "as is" and "as available", with all faults, and without warranty or representation of any kind, whether express, implied, statutory, or otherwise. The MENA Homes Parties expressly disclaim all warranties and representations, including any:
(a) implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness, timeliness, security, reliability, title, or non-infringement;
(b) warranties arising from course of dealing, course of performance, usage, or trade;
(c) warranty that the Platform will operate uninterrupted, error-free, free of viruses or harmful components, or secure;
(d) warranty that any defect will be corrected, that the Platform will meet your requirements, or that any results obtained will be accurate or reliable;
(e) warranty regarding the conduct, identity, qualifications, licensing, solvency, honesty, or trustworthiness of any User, Agent, Property owner, or third party; and
(f) warranty regarding the accuracy, completeness, or timeliness of any Content, Listing, or third-party data.
11.4 No Guarantee of Availability
We do not guarantee that the Platform, any feature, or any Listing will be available at any particular time, or that any Listing will remain on the Platform for any minimum period. We may add, modify, suspend, withdraw, or discontinue any feature, Listing, or part of the Platform at any time, with or without notice, and without liability.
12. Limitation of Liability
12.1 Exclusion of Indirect Loss
To the maximum extent permitted by Applicable Law, the MENA Homes Parties shall not be liable to you for any indirect, special, incidental, consequential, exemplary, or punitive loss or damage, or for any:
- loss of profit, revenue, business, contracts, or goodwill;
- loss of opportunity, anticipated savings, or expected return;
- loss of, or damage to, data;
- loss arising from interruption of business, reputation harm, or wasted expenditure;
- loss arising from any transaction, contract, deposit, payment, or arrangement entered into with any Agent, User, or third party introduced through the Platform;
- loss arising from your reliance on any Listing, Content, market data, mortgage rate, valuation, or other information;
- loss arising from the conduct of any Agent, User, or third party, whether on or off the Platform; or
- loss arising from any unauthorised access to your account, any data breach, or any cyber-incident,
whether based in contract, tort (including negligence), breach of statutory duty, restitution, or otherwise, and whether or not such loss was foreseeable or we were advised of its possibility.
12.2 Liability Cap
To the maximum extent permitted by Applicable Law, the total aggregate liability of all MENA Homes Parties to you, in connection with the Platform, the Content, and these Terms, regardless of the number of claims and the cause of action, shall not exceed the greater of:
(a) the total amount of fees actually paid by you to MENA Homes for the specific Service that is the subject of the dispute; or
(b) one thousand UAE Dirhams (AED 1,000).
This cap applies in aggregate to all claims by you, however framed, and is not a per-claim cap. Free use of the Platform attracts the AED 1,000 cap only.
12.3 No Liability for Third-Party Conduct
The MENA Homes Parties are not liable for the acts, omissions, statements, conduct, breach, or insolvency of any Agent, User, Property owner, developer, lender, payment processor, data feed, government data source, or other third party. Any dispute you have with any such third party is exclusively between you and that third party.
12.4 Release of MENA Homes for User Disputes
You release the MENA Homes Parties from any and all claims, demands, damages (actual or consequential), known or unknown, of every kind, arising out of or in any way connected with disputes between you and any other User, Agent, Property owner, lender, or third party, including any claim that we should have prevented, mitigated, or resolved such dispute. MENA Homes is not obliged to mediate, arbitrate, investigate, or take any side in any User dispute.
12.5 Carve-Outs
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Applicable Law, including liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, or for death or personal injury caused by negligence, or any non-excludable consumer right.
12.6 Allocation of Risk
You acknowledge that the limitations and exclusions in this Section 12 are reasonable in light of the nature of the Platform, the fact that Listings are provided by independent third parties, the fees (if any) paid by you, and the allocation of risk that the parties have agreed.
13. Indemnification
You agree to defend, indemnify, and hold harmless the MENA Homes Parties from and against any and all claims, demands, actions, proceedings, investigations, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable legal fees on a full-indemnity basis) arising out of or in connection with:
(a) your use of, or access to, the Platform;
(b) Your Content or any Listing you publish;
(c) any breach by you of these Terms, Applicable Law, or any representation, warranty, or covenant herein;
(d) your violation of any third-party right, including any intellectual property, privacy, publicity, contractual, or property right;
(e) any dispute between you and any other User, Agent, Property owner, lender, or third party;
(f) any tax liability arising from your activities on the Platform; or
(g) any regulatory or enforcement action arising out of your use of the Platform.
We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate fully and not settle any claim without our prior written consent. You will not settle any claim that imposes any obligation, admission, or restriction on any MENA Homes Party without our prior written consent.
14. Time Limit on Claims
To the maximum extent permitted by Applicable Law, any claim or cause of action arising out of or related to your use of the Platform or these Terms must be filed within one (1) year after the claim or cause of action arose, or be permanently barred. This time limit applies in addition to any shorter limitation period imposed by Applicable Law.
15. Suspension, Termination, and Survival
15.1 Termination by You
You may close your account at any time by contacting support@menahomes.com. Closure does not relieve you of obligations accrued before closure, including outstanding fees.
15.2 Termination by Us
We may suspend or terminate your access to all or part of the Platform, with or without notice, and without liability, where:
- you breach these Terms or Applicable Law
- we are required to do so by a competent authority
- we consider it necessary to protect the security or integrity of the Platform or other Users
- we cease to provide the relevant feature; or (v) for any other reason in our sole discretion.
15.3 Effect of Termination
On termination, your right to use the Platform ceases immediately. We may delete your account and Content, although we may retain copies as required by Applicable Law or for legitimate business purposes (audit, fraud prevention, dispute resolution, defence of claims, regulatory cooperation). No refund or compensation is payable on termination, except as required by Applicable Law.
15.4 Survival
Sections 2, 4.2, 6.2, 7, 11, 12, 13, 14, 15.4, 16, and 17, and any other provision that by its nature should survive, continue to apply after termination.
16. Changes to the Terms or the Platform
16.1 Changes to the Terms
We may revise these Terms from time to time at our sole discretion. The "Last Updated" date shows when they were last revised. Where changes are material, we will use reasonable efforts to notify you in advance (e.g., by email, in-app notice, or prominent posting). Your continued use of the Platform after the effective date of revised Terms constitutes acceptance. If you do not accept revised Terms, you must stop using the Platform.
16.2 Changes to the Platform
We may add, modify, suspend, or discontinue any feature, content, or service of the Platform at any time, with or without notice, and without liability. We are not obliged to ensure that the Platform remains available, free of charge, or unchanged.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), are governed by and construed in accordance with the federal laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi.
17.2 Jurisdiction
Subject to Sections 17.3 and 17.4, you and we irrevocably submit to the exclusive jurisdiction of the Courts of Abu Dhabi to settle any dispute or claim arising out of or in connection with these Terms or your use of the Platform.
17.3 Consumer Disputes
If you are a consumer (a natural person using the Platform other than for a commercial real estate purpose), nothing in these Terms restricts your right to bring proceedings in the courts of the Emirate where you reside, to the extent such right is granted by Applicable Law.
17.4 Disputes Below AED 50,000
In accordance with Federal Decree-Law No. 14 of 2023, no provision of these Terms requires the mandatory arbitration of any dispute the value of which is below AED 50,000.
17.5 Informal Resolution Required First
Before commencing any formal proceedings, you agree to first contact legal@menahomes.com with a written description of the dispute and the resolution sought, and to engage in good-faith informal resolution for at least thirty (30) days. Failure to comply with this Section 17.5 is a ground for the dismissal or stay of any proceeding.
17.6 Individual Claims Only
To the maximum extent permitted by Applicable Law, you agree to bring any claim only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or consolidated proceeding.
18. General Provisions
18.1 Entire Agreement
These Terms (with the Privacy Policy and any Subscription Order or other written agreement) constitute the entire agreement between you and us regarding the Platform, and supersede all prior or contemporaneous understandings, communications, representations, or proposals, whether electronic, oral, or written. You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these Terms.
18.2 Order of Precedence
In the event of any conflict, the order of precedence (earlier prevails) is:
- signed Subscription Order or signed agreement
- these Terms
- the Privacy Policy.
18.3 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force.
18.4 No Waiver
No failure or delay in exercising any right shall constitute a waiver. No waiver is effective unless in writing.
18.5 No Partnership or Agency
Nothing in these Terms creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and MENA Homes. Agents are independent contractors.
18.6 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to any affiliate, successor, or acquirer, in whole or in part, without your consent.
18.7 Force Majeure
The MENA Homes Parties shall not be liable for any delay or failure to perform where the delay or failure results from circumstances beyond our reasonable control, including acts of God, natural disaster, fire, flood, earthquake, pandemic, epidemic, war, civil unrest, terrorism, sabotage, government action or order, regulatory change, sanctions, strikes, telecommunications or internet failure, power outage, denial-of-service attack, hardware failure, third-party service-provider failure, or any cyber-incident.
18.8 Notices
Notices to MENA Homes must be sent in writing in English to legal@menahomes.com or to our registered office in Section 19. Notices to you may be sent to the email address in your account, by SMS to a registered number, or by notice on the Platform, and shall be deemed received on the day of dispatch.
18.9 Language
These Terms are issued in English. Where an Arabic translation is provided, the English version shall prevail in the event of any conflict, except where Applicable Law requires the Arabic version to prevail.
18.10 Third-Party Beneficiaries
The MENA Homes Parties (including affiliates, directors, officers, employees, contractors, suppliers, service providers, and licensors) are intended third-party beneficiaries of the disclaimers, limitations, releases, and indemnities in these Terms, and are entitled to enforce them.
18.11 No Reliance
You acknowledge that, in entering into these Terms, you have not relied on, and shall have no remedy in respect of, any statement, representation, assurance, or warranty (whether innocently or negligently made) other than as expressly set out in these Terms.
18.12 Headings
Section headings are for convenience only and do not affect interpretation.
